Terms of service

Terms of Use

Users (as defined in Article 1) must read the entirety of these Terms (as defined in Article 1) and agree to them before using the service. These Terms constitute a standard form contract under Article 548-2 of the Civil Code of Japan. When the User agrees to these Terms as the basis for the usage agreement between the User and the Company (as defined in Article 1), and the sales agreement between the User and the Shop (as defined in Article 1), the User is deemed to have agreed to each individual provision of these Terms.

Article 1: Definitions

  • "Terms" refers to these Terms of Use.

  • "Service" refers to the web services provided by the Company on the domain "https://zugaport.com/" or any subdomain thereof.

  • "Product" refers to any product sold through the Service.

  • "User" refers to any person who uses the Service.

  • "Shop" refers to the operator of the e-commerce website operated under the Service, and such website is referred to as the "Shop Site."

  • "Company" refers to Bangal Dawson Inc., the provider of the Service.

Article 2: Application of Terms These Terms apply to all Users. Any rules, explanations, or policies relating to the use of the Service or the sales agreement between the User and the Shop posted on the Shop Site, including those under the "Notation Based on the Act on Specified Commercial Transactions," are considered part of these Terms. In the event of any inconsistency between such rules and these Terms, these Terms shall prevail.

Article 3: Suspension or Interruption of the Service The Company may suspend or interrupt the Service in whole or in part in any of the following cases:

  1. When urgent maintenance or inspection of the system is necessary;

  2. In the event of an accident affecting servers or communication lines;

  3. Due to force majeure, including natural disasters, war, riots, epidemics;

  4. Other situations in which the Shop deems it necessary to suspend or interrupt the Service.

Article 4: Termination of the Service The Company may terminate the Service, in whole or in part, at any time at its discretion. In such cases, Users will be notified at least one month prior to termination via announcement on the website. In cases of unforeseen or unavoidable circumstances, the Company will notify Users as soon as reasonably possible.

Article 5: Amendments to the Terms The Company may amend these Terms at its discretion if:

  1. The changes benefit the User generally;

  2. The changes are reasonable in light of the necessity of change, appropriateness of revised terms, and other circumstances. In such cases, the Company will notify Users by posting the amended Terms, their effective date, and content at least one month prior to the effective date on the Shop Site. The Company and Shop are not liable for any damages resulting from such changes, whether direct or indirect.

Article 6: Purchase of Products Users may apply to purchase Products from the Shop through the Service. A sales contract between the User and the Shop is concluded when the User clicks the "Confirm Order" button after reviewing the shipping and order details and receives an order confirmation email from the Service. If the User engages in improper or inappropriate behavior, the Shop may cancel the sales contract even after it is concluded. Minors and other persons with limited legal capacity must obtain the consent of a legal guardian. Changes or cancellations after the conclusion of a sales contract are not accepted, except for returns based on Article 9(2). If the payment method is bank transfer and payment is not received within the time specified under the "Notation Based on the Act on Specified Commercial Transactions," the Shop may cancel the order.

Article 7: Change of Registration Information The Shop is only obligated to fulfill the contract based on the information entered by the User. The Shop is not liable for any damages resulting from errors or changes in registration information. Users must promptly notify the Shop of any changes in registration information. However, the Shop's obligations are considered fulfilled for transactions already processed before such notification is received.

Article 8: Payment Methods The total payment amount consists of the displayed product price, applicable taxes, shipping fees, and handling charges. For domestic deliveries in Japan, unless otherwise specified, the accepted payment methods are: (1) credit card, (2) bank transfer, or (3) cash on delivery. For international deliveries, only credit card payments are accepted. Credit cards must be in the User’s name. Payment is confirmed at the time the sales contract is concluded. The actual date of charge is determined by the credit card agreement between the User and the card issuer. The User must resolve any disputes with the credit card issuer directly and shall not cause harm or inconvenience to the Company or Shop.

Article 9: Delivery and Returns Delivery times are as stated under the "Notation Based on the Act on Specified Commercial Transactions." Returns are not accepted unless the Product is defective. Procedures and costs for defective item returns are specified in the "Notation Based on the Act on Specified Commercial Transactions."

Article 10: Handling of Personal Information The User’s personal information will be handled appropriately in accordance with the separately stipulated Privacy Policy.

Article 11: Prohibited Acts The following acts are prohibited:

  • Infringement or potential infringement of intellectual property or other rights of third parties, the Company, or the Shop;

  • Infringement of property, credit, or privacy;

  • Causing disadvantage or damage to third parties, the Company, or the Shop;

  • Defamation or acts causing discomfort to others;

  • Acts contrary to public order and morals;

  • Acts in violation of laws or assisting criminal acts;

  • Use of content beyond private use;

  • Reproduction or distribution of content obtained through the Service without permission;

  • Hindering the operation of the Company or Shop;

  • Any other acts deemed inappropriate by the Company or Shop. Violators shall compensate the Company or Shop for damages, including lost profits and attorney's fees.

Article 12: Disclaimers Users are responsible for resolving any disputes with third parties and shall not hold the Company or Shop liable. The Company does not guarantee the completeness, accuracy, or usefulness of information on the Shop Site. The Company shall not be liable for damages arising from:

  • Misleading product information on the Shop Site;

  • Defects in products sold through the Shop;

  • Failure of delivery due to the User's absence, refusal, or unknown address.

Article 13: Damages If the Company or Shop is liable under applicable laws, such liability shall be limited to direct and ordinary damages actually incurred. This excludes lost profits, special damages, and legal fees. These limitations do not apply in cases of willful misconduct or gross negligence.

Article 14: Intellectual Property Rights All intellectual property rights related to the Service belong to the Company, Shop, or authorized third parties. Users may not use any such content beyond the scope of personal use without permission. Users shall bear responsibility for resolving any disputes arising from such violations.

Article 15: Transfer of Rights Users may not transfer or assign any rights or obligations under these Terms to third parties without prior written consent from the Company and Shop.

Article 16: Exclusion of Anti-Social Forces The Company and Shop prohibit the use of the Service by individuals or groups involved in anti-social forces. Service may be terminated if a User is found to be part of such groups. The Company and Shop are not liable for any resulting damages.

Article 17: Severability If any provision of these Terms is deemed illegal or unenforceable, the remaining provisions shall remain in effect.

Article 18: Governing Law These Terms shall be governed by the laws of Japan.

Article 19: Jurisdiction All disputes related to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court or Tokyo Summary Court.
